RBO Registration

The Register of Beneficial Owners (RBO) is a statutory register maintained by the Companies Registration Office. Under the European Union's anti-money laundering regulations, all Irish companies and industrial and provident societies are required to identify their beneficial owners and file that information with the RBO.

A beneficial owner is any individual who ultimately owns or controls more than 25% of the shares or voting rights in a company, or who otherwise exercises control over the management of the company. If no individual meets this threshold, the senior managing officials of the company must be registered.

At Book Smart Accountancy, we manage the RBO registration process for our clients from start to finish. We assess who the beneficial owners are based on the company's ownership structure, prepare the required information, and submit the filing accurately and on time.

The obligation to register with the RBO is ongoing. If there are any changes to the beneficial ownership of your company, such as a change in shareholding, the death of a beneficial owner, or a change in the level of control exercised by an individual, the RBO register must be updated within a specific timeframe.

Non-compliance with RBO obligations can result in significant fines for both the company and its officers. We ensure that your registration is and remains accurate, keeping your company fully compliant with its anti-money laundering obligations.

Things to Know or Watch Out For with RBO Registration

  • All Irish Companies Must Be Registered with the RBO - This is a legal requirement regardless of company size, trading status, or turnover. Dormant and non-trading companies are not exempt.
  • Changes to Beneficial Ownership Must Be Updated Promptly - Any change in the beneficial ownership of your company must be updated in your internal register within five days and notified to the RBO within 14 days. Failing to update the register in time is an offence.
  • Personal Details of Beneficial Owners Are Required - The RBO requires specific personal information for each beneficial owner, including full name, date of birth, nationality, country of residence, PPS number (if Irish), and the nature and extent of the interest held.
  • The 25% Threshold Is Not the Only Trigger - Even if no individual holds more than 25% of shares or voting rights, other forms of control, such as the right to appoint or remove the majority of the board, can also qualify a person as a beneficial owner.
  • Senior Managing Officials Are Registerable in Some Cases - If no natural person can be identified as a beneficial owner after reasonable steps have been taken, the senior managing officials of the company must be registered. This is a fallback position and must be documented properly.
  • Penalties for Non-Compliance Are Significant - Failure to comply with RBO obligations can result in fines of up to EUR 500,000 for the company and up to EUR 50,000 for individual officers. Revenue and An Garda Siochana also have access to the RBO as part of anti-money laundering oversight.
  • Internal Registers Must Also Be Maintained - Companies are required to maintain their own internal register of beneficial owners as well as filing with the CRO. Both records must be consistent and kept up to date.
  • Trusts and Complex Ownership Structures Require Careful Analysis - Where a company is owned through a trust, holding company, or other complex structure, identifying the ultimate beneficial owners requires careful analysis. Professional advice is strongly recommended in these situations.

Frequently Asked Questions

The Register of Beneficial Owners is a statutory register required under EU anti-money laundering law. Every Irish company must identify and register details of the individuals who ultimately own or control the company. It is a legal obligation, not optional, and failure to comply carries significant penalties.
Any individual who directly or indirectly owns more than 25% of the shares or voting rights in your company is a beneficial owner. Individuals who exercise control through other means, such as the right to appoint the majority of directors, also qualify. Where no natural person meets these criteria, the senior managing officials must be registered instead.
For each beneficial owner, you will need to provide their full name, date of birth, nationality, country of residence, and PPS number if they are Irish. You will also need to describe the nature and extent of the interest held, for example the percentage of shares owned or the type of control exercised. We gather this information from you and complete the filing on your behalf.
Any change to beneficial ownership must be reflected in your internal register within five days and filed with the RBO within 14 days of the change. We manage this process for clients by monitoring ownership changes and filing the required updates promptly. If you are considering a change in shareholding or control, contact us in advance so we can plan the update efficiently.
Failing to register with the RBO or to update the register within the required timeframe is an offence. The company and its officers can face fines and other consequences. If you have missed a deadline, the most important step is to get the filing in place as quickly as possible. We can assist with this and advise on how to address any period of non-compliance.
The beneficial ownership information held on the RBO is accessible to competent authorities such as Revenue, An Garda Siochana, and the Criminal Assets Bureau. Members of the public and certain other parties can also access specific details in defined circumstances. The register is not fully open to general public search in the same way as the CRO register, but it is not entirely private either.
Yes. All Irish companies are required to register with the RBO regardless of their trading status. A dormant company that has beneficial owners meeting the threshold must register those details just like any active company. The size, turnover, or activity level of the company makes no difference to this obligation.
Yes. We handle the initial registration, manage any subsequent updates, and keep your internal register of beneficial owners in line with your RBO filing. Many clients find it more straightforward to have us manage this obligation as part of their broader compliance arrangements, so they do not need to track deadlines or gather the required information themselves.
